Terms of Service

These Terms of Service ("Terms") govern your use of CarrierInvoice ("the Service"), operated by Crisp Tech LLC ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Description of Service
CarrierInvoice provides AI-powered invoice processing tools for the trucking industry. The Service includes document uploading, AI-powered data extraction, custom invoice template management, and PDF invoice generation. PDF generation is performed client-side in your browser using WebAssembly technology.
2. Account Registration
To use the Service, you must create an account with a valid email address and password. You are responsible for:
- Providing accurate and complete registration information.
- Maintaining the confidentiality of your account credentials.
- All activity that occurs under your account.
- Notifying us immediately of any unauthorized use of your account.
One account per person. Sharing account credentials with others is not permitted.
3. Free Scans
Upon email confirmation, each new account receives 10 free invoice scans. No credit card is required. Free scans do not expire and can be used at any time.
Once free scans are used, you must subscribe to a paid plan to continue processing invoices. Your data will be retained for 30 days after your last activity. If no subscription is activated within this period, we reserve the right to delete your account data.
4. Subscription Plans & Payment
Plans: The Service is offered through subscription plans (Regular, Professional, Enterprise), each with a specified number of invoice scans per billing period. All plans include the same features — plans differ only in scan volume. Plans are available on a monthly or annual billing cycle.
Billing: Subscriptions are billed through Stripe on a monthly or annual basis, depending on the billing cycle you select. Payment is due at the start of each billing cycle.
Scan Limits: Each plan includes a set number of invoice scans per billing period. Unused scans do not roll over to the next billing period. If you reach your scan limit, you will need to upgrade your plan or wait for the next billing cycle.
Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. Your access to the Service will continue until the end of the period you have already paid for. No partial refunds are provided for unused time within a billing period.
Annual Plan Refund Policy: Annual subscriptions are non-refundable. If you cancel an annual plan, your access remains active until the end of the prepaid annual term, but no prorated or partial refund will be issued for the remaining unused portion. By purchasing an annual plan, you acknowledge and agree to this non-refund policy. New annual subscribers may request a full refund within 14 days of their initial purchase if they have not exceeded 10% of their plan's scan allocation during that period.
Monthly Plan Refunds: Monthly subscriptions are non-refundable for the current billing period. Exceptional refund requests may be considered on a case-by-case basis — contact support.
Price Changes: We reserve the right to change subscription prices. We will notify you at least 30 days before any price increase takes effect. For annual subscribers, price changes will apply at the next renewal date, not during an active annual term. Continued use of the Service after a price change constitutes acceptance of the new pricing.
5. AI-Powered Document Processing
The Service uses third-party cloud AI services, including Azure OpenAI and Google Cloud Vertex AI/Gemini, to extract data from uploaded documents. By using the document extraction feature, you acknowledge that:
- Images of your uploaded documents are sent to Microsoft Azure and/or Google Cloud infrastructure for processing.
- AI extraction results are automated and may contain errors, inaccuracies, or omissions.
- You are solely responsible for reviewing and verifying all extracted data before using it in your invoices.
- CarrierInvoice is not liable for any errors in AI-extracted data, including incorrect amounts, dates, addresses, or other details.
- The accuracy of extraction depends on the quality of uploaded documents.
6. Data Ownership & License
Your Data: You retain full ownership of all documents, templates, and invoices you upload or create using the Service. We do not claim any ownership rights over your content.
License to Us: By uploading content to the Service, you grant us a limited license to store, process, and transmit your content solely for the purpose of providing the Service to you. This includes sending document images to cloud AI services for data extraction.
Your Responsibility: You represent that you have the right to upload and process any documents you submit to the Service. You are responsible for ensuring your use of the Service complies with all applicable laws, including tax and invoicing regulations in your jurisdiction.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose, including creating fraudulent invoices.
- Attempt to gain unauthorized access to other users' accounts or data.
- Interfere with or disrupt the Service or its infrastructure.
- Reverse engineer, decompile, or attempt to extract the source code of the Service.
- Use automated tools (bots, scrapers) to access the Service beyond its intended use.
- Exceed your plan's scan limits through any means of circumvention.
- Abuse, exploit, or manipulate any feature, vulnerability, or functionality of the Service, including but not limited to: manipulating scan counts, exploiting billing or subscription logic, creating multiple accounts to obtain additional free scans, or using the Service in any manner inconsistent with its intended purpose.
Violation of these terms will result in immediate and permanent account disabling without prior notice and without refund, including for annual plans. We reserve the right to pursue additional legal remedies for damages caused by abusive or exploitative behavior.
8. Service Availability
We strive to maintain the Service's availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from Service downtime.
9. Invoicing Disclaimer
CarrierInvoice is a document processing and generation tool. It is not an accounting, tax, or legal service. The Service does not provide financial, tax, or legal advice.
- You are solely responsible for the accuracy and completeness of your invoices.
- You are responsible for compliance with all applicable invoicing, tax, and financial regulations.
- CarrierInvoice does not validate the legal or financial accuracy of generated invoices.
- We recommend consulting a qualified accountant or tax professional for financial matters.
10. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that: (a) the Service will be uninterrupted, secure, or error-free; (b) AI extraction results will be accurate, complete, or reliable; or (c) the Service will meet your specific requirements.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- CarrierInvoice and its owners, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service.
- Our total aggregate liability to you for any claims related to the Service shall not exceed the total amount you paid to us in the 12 months immediately preceding the event giving rise to the claim.
- We are not liable for any financial losses, tax penalties, regulatory fines, or legal consequences resulting from invoices generated using the Service.
- We are not liable for any errors, inaccuracies, or omissions in data extracted by cloud AI services.
Some states do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the greatest extent permitted by applicable law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Crisp Tech LLC, its owners, officers, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any invoices or documents you create, generate, or distribute using the Service.
13. Account Termination
By You: You may cancel your subscription and request account deletion at any time. Upon deletion, your data will be permanently removed within 30 days.
By Us: We reserve the right to suspend or terminate your account for violation of these Terms, non-payment, or any activity we determine to be harmful to the Service or other users. In case of termination for cause, no refund will be provided.
14. Changes to Terms
We may update these Terms from time to time. If we make material changes, we will notify you via email or a notice within the application at least 14 days before the changes take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms. If you disagree with the updated Terms, you may cancel your account.
15. Dispute Resolution
Informal Resolution: Before filing any formal claim, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.
Arbitration: If the dispute is not resolved informally, you and CarrierInvoice agree to resolve any claims through binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will be conducted in English. The arbitrator's decision shall be final and binding.
Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.
Small Claims Exception: Either party may bring an individual action in small claims court for disputes within the court's jurisdiction.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State in which Crisp Tech LLC is registered, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in that State for any actions not subject to arbitration.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
18. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and CarrierInvoice regarding your use of the Service and supersede all prior agreements and understandings.
